Given the firm’s extensive experience in litigating issues arising out such agreements, the firm is in a unique position to draft the agreements from a “litigator’s perspective” and provide the client with the maximum protection. If the time should come when a client needs to sell or acquire a business, the firm can assist in the negotiation and documentation of the necessary agreement to consummate the transaction.

The firm has substantial experience in the prosecution, defense and resolution of claims concerning the violation of employment agreements, non-competition agreements, confidentiality agreements, and trade secret disputes. If litigation is warranted, the firm will quickly move to preserve and protect a client’s rights and assets, including the prosecution of claims to obtain injunctive relief from the courts. The firm routinely represents corporations and employees as plaintiffs and defendants.

To the extent that a business is experiencing disputes between or among shareholders or equity holders, the firm is also experienced in litigating “corporate divorces,” and therefore can provide invaluable expertise in advising a shareholder as to the shareholder’s rights and responsibilities, and litigating that shareholder’s rights if an amicable resolution with the other shareholders cannot be reached.

As commercial litigators, the firm has significant experience in litigating contractual disputes, intellectual property disputes, and business torts, such as tortious interference, unfair and deceptive trade practices, unfair competition, and trade name infringement.
